Terms & conditions

Last updated: October 2026

What you can expect when you work with Tech Nibas, and what we ask of you — written in plain language. The aim is clear rules, not legal fog, so both sides understand the same thing before work begins.

In short

  • Scope, price and timeline are agreed in writing before work starts — the price doesn't grow later.
  • Payment comes in milestones: an advance, a midpoint instalment, and the balance at handover.
  • On custom work, the source code, database and hosting access are yours once paid in full.
  • Bug fixes and support are free for an agreed period after launch.

When these terms apply

These terms cover your use of technibas.com, our ready-made software (on subscription) and custom projects.

  • If a project has its own signed agreement or proposal, what it says takes priority over this page.
  • Accepting a proposal and paying the advance means you agree to these terms.

Scope, proposal and changes

Before any code is written, you get a written proposal that is clear about what will be built — and what won't.

  • It lists the features, the fixed price, a dated timeline and the payment milestones.
  • If you want something new mid-project, we quote its cost and time in writing first — work starts only once you agree.
  • No extra charge ever appears without your approval.

Pricing and payment

Not one lump sum — payment follows the progress of the work.

  • Custom projects: usually an advance to start, a midpoint instalment, and the balance at handover.
  • Ready-made software: a monthly or yearly subscription, paid at the start of each period.
  • Invoices are due by the date shown. If a payment is overdue, work or service may be paused — always with notice first.

What we need from you

Finishing on time takes both sides. Projects are delayed most often by waiting on the client, so we tell you upfront exactly what we'll need.

  • Provide text, images, logos, logins and access on time.
  • Review and decide promptly — delays on your side move the timeline by the same amount.
  • Make sure you have the right to use any text, images or data you give us.

Source code and ownership

We don't want you locked in to us, so ownership is clear from the start.

  • Custom projects: once paid in full, the source code, database and hosting access are handed over to you entirely.
  • Ready-made software: you get a licence to use it while your subscription is active; the software belongs to Tech Nibas, but your data inside it is always yours.
  • We may reuse our general tools and know-how — code that isn't specific to your business — on other projects.
  • We may show your project in our portfolio unless you ask us not to.

Support after launch

Going live isn't the end. Fixing what real use uncovers is our job.

  • Every project includes a free bug-fix period after launch, with the length stated in the agreement.
  • New features outside the agreed scope are quoted separately.
  • After that, you can take a monthly support and maintenance plan, or simply ask when something needs doing.

Third-party services

Many projects rely on outside services — hosting, domains, payment gateways, SMS, Shopify, n8n, Make, Zapier or AI APIs.

  • Their fees are usually billed to you directly by the provider, and the accounts stay in your name.
  • Their outages and price or policy changes are outside our control — but we help you work around them.

Confidentiality

Whatever we learn about your business through the work — sales, pricing, customers, plans — stays confidential and is never used outside your project. We're happy to sign an NDA if you want one.

Limitation of liability

We work carefully, but no software can be guaranteed to be completely error-free or online at every moment.

  • If we are ever liable, it is limited to the total you paid for that project (or, for subscriptions, the fees from the last 12 months).
  • We are not liable for indirect losses, such as lost profit or missed opportunities.

Cancelling a project or subscription

Either side can end a project with written notice.

  • You pay for the work done up to that day, and that work is handed over to you.
  • Subscriptions can be cancelled at any time and stay active until the end of the current period.
  • After cancelling, your full data is exported to you in a standard format on request — free of charge.

Work we don't take on

We don't take on anything unlawful or harmful to people — whatever the budget.

  • Gambling, betting, MLM or network marketing, and platforms selling goods or services banned in Bangladesh.
  • Phishing, hacking, spam, fake reviews, or tools that collect people's data without consent.
  • Copying someone else's copyright, trademark or design.
  • If we discover this during a project, we may stop work; payment for work done up to that point still applies.

Laws that apply

Our work and agreements sit under Bangladeshi law. Put simply, these laws are the basis of our relationship — each links to its official text on a government website:

  • Contract Act, 1872 — accepting a proposal and paying the advance forms a valid contract between both sides.Contract Act, 1872
  • Information and Communication Technology Act, 2006 — approvals given by email, WhatsApp or online, and electronic records, are legally recognised.ICT Act, 2006
  • Copyright Act, 2023 — software and source code are protected works; rights in custom work transfer to you once it is paid in full.Copyright Act, 2023
  • Consumer Rights Protection Act, 2009 and the Digital Commerce Operation Guidelines, 2021 — as the seller, you're responsible for your shop's pricing, return and delivery rules; we help build the pages and features they require.Consumer Rights Protection Act, 2009Digital Commerce Operation Guidelines, 2021
  • Bangladesh's personal data protection and cyber security laws in force, including any that amend or replace them — your customer and staff data is handled in line with them; having a lawful reason and consent to collect it is your responsibility.
  • Value Added Tax and Supplementary Duty Act, 2012 and Income Tax Act, 2023 — VAT and tax are added where the law requires, and shown separately in the proposal.VAT and Supplementary Duty Act, 2012Income Tax Act, 2023 (NBR)
  • Payment gateways (bKash, Nagad, cards) follow Bangladesh Bank and provider rules; the merchant account must be opened in your name.Bangladesh Bank MFS Regulations, 2022

Governing law and disputes

These terms and every agreement with us are governed by and interpreted under the laws of the People's Republic of Bangladesh. If a disagreement arises, we resolve it step by step:

  • First, direct discussion — both sides try to settle it within 30 days of a written notice.
  • If that fails and both sides agree, arbitration in Dhaka under the Arbitration Act, 2001.Arbitration Act, 2001
  • Failing that, the competent courts of Dhaka have exclusive jurisdiction.

Changes to these terms

We may update this page when needed and will change the date at the top. Agreements already signed are not changed by later updates.
